Terms of Service

1) Acceptance of Terms

These Terms of Service (“Terms”) govern your B2B access to and use of the websites, products, and services of LifePO4 Powers operated by Bright Power (China) Limited (“we”, “us”, or “our”). By placing an order, requesting a quotation, or using our website, you agree to these Terms. If you have a signed supply, distribution, or OEM/ODM agreement with us, that agreement will prevail to the extent of any conflict.

2) Services & Products

We design and manufacture LiFePO4-based energy solutions (e.g., Starlink Mini Battery, custom 12V/24V/36V/48V/51.2V packs, commercial & industrial storage systems, and UPS backup for data center/telecom). Specifications, availability, and compatibility depend on the specific model and region and may be updated without notice.

3) Eligibility & Business Use

Our offerings are intended for professional, business, and institutional customers. You represent that you are duly authorized to enter into contracts on behalf of your organization and that you will comply with applicable laws.

4) Quotes, Orders & Changes

  • Quotations: Unless stated otherwise, quotations are valid for 30 days.
  • Order Acceptance: Orders are subject to our confirmation (e.g., PI or sales contract).
  • Changes/Cancellations: After confirmation, requests may incur costs; customized/OEM items may be non-cancellable.
  • Forecasts & MOQ: Certain products may require minimum order quantities and lead-time forecasts.

5) Pricing, Currencies & Taxes

  • Prices are in the currency stated in the quotation and may adjust due to raw-material, exchange-rate, or logistics fluctuations.
  • Unless otherwise agreed (e.g., DDP), buyers are responsible for import duties, taxes, and customs clearance in the destination country.

6) Shipping, Incoterms & Delivery

Delivery terms follow Incoterms® 2020 (e.g., EXW, FOB, CIF, DDP) as specified in your quotation/contract. Lithium battery shipments require UN38.3 compliance and carrier acceptance. Delivery dates are estimates.

7) Lead Times & Schedule

Lead times depend on model, configuration, and capacity planning. We will use reasonable efforts to meet agreed schedules; however, delays may occur due to supply-chain, certification, or logistics constraints.

8) Samples, OEM/ODM & IP

  • Samples: May be chargeable; fees can be offset against subsequent bulk orders if stated in writing.
  • OEM/ODM: We offer customization of voltage, capacity, BMS, enclosure, and branding per agreed specs.
  • Intellectual Property: Your trademarks/artwork remain yours; our underlying designs, firmware, and manufacturing processes remain ours unless otherwise agreed in a signed assignment.
  • Confidential NRE: Non-recurring engineering and tooling are confidential and may be invoiced separately.

9) Certifications & Compliance

Certifications (e.g., UN38.3, CE, RoHS, FCC, CB, IEC, UL) vary by product/version and market. Availability and scope must be confirmed in the quotation or datasheet for your specific model and destination. Compliance with local regulations at the installation site is the buyer’s responsibility, unless otherwise agreed in writing.

10) Payment Terms

  • Typical terms: 30% deposit upon order, 70% balance before shipment (T/T). L/C or other methods by prior agreement.
  • Bank charges, if any, are borne by the payer. Late payments may accrue interest and/or suspend production/shipment.

11) Risk of Loss & Title

Risk and title transfer as specified by the agreed Incoterm. Where not specified, title passes upon full payment.

12) Warranty

  • Limited Warranty: Unless otherwise stated in a written quotation or Product Warranty Statement for the specific model, a default limited warranty of 24 months from delivery applies to manufacturing defects.
  • Exclusions: Misuse, improper installation, modification, accidents, operation outside datasheet/BMS limits, or third-party repairs void the warranty.
  • Remedies: At our option: repair, replacement, or credit/refund for the defective portion. This is your exclusive remedy.
  • Safety: Customer must follow all handling, storage, and transport rules for lithium batteries and ensure qualified personnel perform installation.

13) Returns & RMA

Returns require prior written authorization (RMA). Lithium battery returns must comply with UN38.3/transport rules. We may inspect and test returned items; non-defective items may incur restocking and logistics fees.

14) Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, or business interruption. Our aggregate liability arising out of these Terms or any order shall not exceed the amounts actually paid to us for the specific products giving rise to the claim.

15) Indemnification

You agree to defend, indemnify, and hold us harmless from claims arising from your misuse of products, non-compliance with laws, or infringement resulting from your instructions, designs, or branding.

16) Confidentiality

Non-public information exchanged for quotations, designs, tests, and orders is confidential and may be used only for the intended business purpose. Each party will protect the other’s confidential information with reasonable care.

17) Compliance & Export

  • Both parties will comply with applicable laws (including anti-bribery/anti-corruption) and export controls/sanctions.
  • You will not sell or transfer products to prohibited end-users/uses or sanctioned regions.

18) Privacy

Our processing of personal information is described in our Privacy Policy.

19) Force Majeure

Neither party is liable for delays or non-performance caused by events beyond reasonable control (e.g., natural disasters, epidemics, wars, labor disputes, government actions, major supply-chain disruptions). Obligations resume when the event ends.

20) Governing Law & Disputes

Unless a separate signed agreement specifies otherwise, these Terms are governed by the laws of the People’s Republic of China (excluding conflict-of-law rules). Any dispute shall be submitted to arbitration administered by the Shenzhen Court of International Arbitration (SCIA) in Shenzhen, in English, by a single arbitrator. The arbitral award is final and enforceable in applicable jurisdictions.

21) Changes to the Terms

We may update these Terms from time to time. The “Effective date” at the top indicates the latest revision. Material changes will be posted here and, where appropriate, communicated by additional notice.

22) Miscellaneous

  • Order of Precedence: If a signed contract conflicts with these Terms, the signed contract controls.
  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • Assignment: You may not assign your rights or obligations without our prior written consent.
  • Notices: Official notices should be sent to the contacts below (email acceptable unless law requires otherwise).
  • Language: If these Terms are translated, the English version controls in case of conflict.
